End User License Agreement
Effective date: July 9, 2026
This End User License Agreement ("EULA") governs your use of the FreshControls software, including our web and mobile applications and the firmware embedded in FreshControls devices ("Software"). It supplements our Terms of Service; where a signed agreement exists, that agreement controls if it conflicts.
By installing, accessing, or using the Software, you agree to this EULA.
1. License grant
Subject to your compliance with this EULA and your active subscription, FreshControls grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely to access and use the Service for your organization’s internal business purposes.
Where we authorize a white-label arrangement, that authorization may extend the license to let you present the Service to your own customers under your brand, on the terms we agree.
2. License restrictions
Except as expressly permitted by this EULA or applicable law, you will not:
- Copy, modify, or create derivative works of the Software.
- Reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code.
- Rent, lease, lend, sell, sublicense, or otherwise commercialize the Software except as expressly authorized.
- Remove or alter any proprietary notices, or circumvent technical protection or licensing measures.
- Use the Software to build a competing product or service.
3. Device firmware and updates
FreshControls devices run firmware licensed, not sold, to you. We may provide updates that fix, improve, or secure the Software and firmware. You agree that the Service may install these updates automatically to keep devices secure and interoperable. Some features depend on running a current version.
4. Ownership
The Software is licensed, not sold. FreshControls and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any rights except the license expressly stated here.
You retain ownership of the operational data your organization submits to the Service, as described in our Terms of Service and Privacy Notice.
5. Third-party and open-source components
The Software may include third-party or open-source components licensed under their own terms. Those terms govern your use of the relevant components and, where required, are made available with the Software.
6. Term and termination
This EULA applies for as long as you use the Software. It terminates automatically if you breach it or if your subscription ends. On termination, you must stop using the Software; provisions on ownership, restrictions, disclaimers, and limitations of liability survive.
7. Disclaimers and limitation of liability
To the fullest extent permitted by law, the Software is provided "as is" without warranties of any kind. FreshControls’ liability arising from the Software is subject to the same disclaimers and limitations set out in our Terms of Service. The Software depends on networks, carriers, and delivery providers we do not control — site internet and power, cellular and radio networks, SMS, voice, email and push providers, DNS, and cloud hosting — and it is a monitoring and notification aid, not a safety system. The Terms of Service govern both points, and the cap and exclusions there apply to any claim arising from them; this EULA adds nothing to and takes nothing away from that.
8. Changes and contact
We may update this EULA as the Software evolves or the law changes; the effective date above will reflect the current version. If any provision is unenforceable, the remainder stays in effect. Questions can be sent to legal@freshcontrols.com.
